1.1 IRB Ventures, LLC ("IRBV," "we," "our," or "us") is a State of Florida Corporation whose principal place of business is located at 801 West Bay Drive, Suite 506, Largo FL 33770, operating as Concierge Physical Therapy. IRBV owns and operates the websites eranpt.com and start.eranpt.com.

1.2 By using our services, website, or patient portal, you acknowledge that you have read and agree to be bound by these Terms of Use. If you do not agree, you must immediately stop using our services.

1.3 PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING A DISPUTE RESOLUTION CLAUSE AND LIMITATIONS OF LIABILITY.

2. General Terms

These Terms apply to all users of our services, including the public, patients, and anyone who accesses our website or patient portal. Our services include all pages on eranpt.com, start.eranpt.com, and any related subdomains.

3. SMS and Text Message Communications

3.1 Consent to Receive SMS: By providing your mobile phone number and expressly opting in to SMS communications during our patient intake process, you consent to receive automated text messages from Concierge Physical Therapy at the phone number provided. These messages may include appointment reminders, follow-up care communications, patient portal access links, and other care-related notifications.

3.2 Message Frequency: Message frequency varies. You may receive up to 4 messages per month.

3.3 Standard Rates: Message and data rates may apply depending on your mobile carrier and plan.

3.4 Opt-Out: You may opt out of SMS communications at any time by replying STOP to any text message. Upon receipt of STOP, you will receive one final confirmation message and no further SMS messages will be sent. To re-subscribe, reply START.

3.5 Help: For assistance with SMS communications, reply HELP to any message or contact us at eran@eranpt.com.

3.6 Not a Condition of Service: Consent to receive text messages is not required as a condition of receiving physical therapy services from Concierge Physical Therapy.

3.7 No Sharing of SMS Consent: We do not sell, share, or disclose your mobile phone number or SMS opt-in information to third parties for marketing purposes.

3.8 Supported Carriers: SMS services are available on most major U.S. carriers. Carrier support may vary.

4. Patient Intake and Health Information

4.1 By completing our online patient intake form at start.eranpt.com, you provide health and personal information necessary for your physical therapy care. This information is protected under HIPAA and our Privacy Policy.

4.2 Digital Signature: Typing your full name in the signature field of our intake form constitutes your digital signature and carries the same legal weight as a handwritten signature.

5. Acceptance and Modifications

5.1 IRBV reserves the right to change or revise these Terms at any time by posting a notification on our website. The revised Terms take effect immediately upon posting. Your continued use of our services constitutes acceptance of any changes.

6. Eligibility

Our services are intended for individuals 18 years of age or older. By using our services, you represent that you are of legal age and have the capacity to enter into this agreement.

7. Indemnification

You agree to defend, indemnify, and hold IRBV, its officers, agents, and employees harmless from all claims, liabilities, damages, and expenses arising out of your use of our services or breach of these Terms.

8. Limitations of Liability

IN NO EVENT SHALL IRB VENTURES, LLC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE OUR SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRBV'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF PAYMENTS MADE BY YOU DURING THE PRIOR THREE MONTHS OR $100.00 USD.

OUR SERVICES AND INFORMATION ARE PROVIDED ON AN "AS IS" BASIS. IRBV MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING OUR SERVICES. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Data Collection and Privacy

Your use of our services is subject to our Privacy Policy available at eranpt.com/privacy, which is incorporated herein by reference. By using our services, you agree to our Privacy Policy including our SMS communication practices described therein.

11. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes not subject to arbitration shall be filed in state or federal court in Pinellas County, Florida.

12. Arbitration

12.1 Any claim or controversy arising out of or relating to these Terms or our services shall be settled by arbitration in the State of Florida before the American Arbitration Association (AAA) under its then-prevailing rules, except where either party seeks injunctive relief for intellectual property infringement.

12.2 The arbitrator shall not alter, change, cancel, or set aside any provision of these Terms except as provided by applicable law.
